Terms of Service Title: Synera Biz - AI Terms of Service Effective Date: 20 MAY 2025 Welcome to Synera, the AI-powered content generation and collaboration platform, operated by Synera Biz ("Synera," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the Synera web application and website located at https://app.synera.space, and all associated services, features, and content (collectively, the "Service"). IMPORTANT NOTICE: IMPLIED CONSENT By accessing, browsing, or using the Synera Service in any manner (including visiting the website, creating an account, using free or paid features, or consuming AI credits), you signify that you have read, understood, and agree to be bound by these Terms of Use, our Privacy Policy (https://app.synera.space/policies/privacy), and our Refund Policy (https://app.synera.space/policies/refund). If you do not agree to all of these Terms and policies, you are not authorized to use the Service and must cease use immediately. Your continued use constitutes your acceptance of any future changes to these Terms and policies. 1. Acceptance of Terms Through Use Your access to and use of the Synera Service constitutes your acceptance of and agreement to abide by these Terms. You understand that by using the Service, you are entering into a legally binding agreement with Synera Biz. 2. Service Description Synera provides users with access to various artificial intelligence-powered tools for content generation, writing, editing, summarization, translation, collaboration, and other related tasks. The Service operates primarily on a credit-based consumption model, with different subscription plans (including free, monthly, annual, and Lifetime tiers, and addon credit options) offering varying access levels, credit allocations, and features. The underlying AI processing relies on third-party AI APIs. Synera reserves the right to modify, update, suspend, or discontinue any aspect of the Service or any feature within it at any time without prior notice. 3. User Responsibilities Account Information: If you create an account, you agree to provide accurate, complete, and current registration information and to keep it updated. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You must notify Synera immediately at support@synera.space of any unauthorized use of your account or any other security breach. Synera cannot and will not be liable for any loss or damage arising from your failure to protect your account information. Lawful Use: You agree to use the Service only for lawful purposes and in compliance with these Terms and all applicable national, federal, state, local, and international laws and regulations, including the laws of Malaysia and the United States. Age Requirement: By using the Service, you represent that you are at least 18 years old or have reached the age of legal majority in your jurisdiction, and are otherwise capable of entering into a binding legal agreement. 4. Subscription Plans, Payment, and AI Credits Subscription Fees: Access to features beyond the free tier requires a paid subscription. By subscribing, you agree to pay the applicable recurring subscription fees and any related taxes. Fees are billed in advance. Payment Processing: Payments are processed through secure third-party payment gateways like Stripe. We do not store your full payment card details. You agree to provide valid payment information and authorize our third-party processor to charge your designated payment method for all applicable fees. Billing and Renewal: Paid subscriptions are billed in advance on a recurring basis (e.g., monthly, yearly) and renew automatically unless canceled. Lifetime plans are a one-time purchase. Non-payment of recurring fees may result in suspension or termination of your account and access to paid features or credits. AI Credits: Plans include specific recurring credit allocations (except for plans like "Validity Access" or some Lifetime plans which may have 0 recurring credits) or are purchased as non-expiring addon credits. Credit consumption rates are defined by Synera. Recurring credits typically expire at the end of your billing cycle and do not roll over to the next cycle unless otherwise specified in your plan details. Addon credits are non-expiring but require an active subscription plan (including plans like "Validity Access") to be usable. Pricing Changes: Prices may change, effective upon renewal. We will provide reasonable notice of material price changes. Refunds: Payments are generally non-refundable. Any exceptions are strictly governed by our Refund Policy (https://app.synera.space/policies/refund), which is incorporated into these Terms by reference. 5. Intellectual Property Synera Property: The Service itself, including all software, algorithms (excluding underlying third-party AI models), user interface, design, trademarks, logos, and other content (excluding User Content), is owned by Synera Biz or its licensors and is protected by intellectual property laws in Malaysia, the United States, and internationally. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely as permitted by these Terms and your subscription plan. User Input and Output (User Content): You retain all rights in the input data, text, images, or other content you provide to the Service ("Input") and the output generated by the AI tools based on your Input ("Output"). Collectively, Input and Output may be referred to as "User Content." You represent and warrant that you have all necessary rights, licenses, and permissions to provide the Input to Synera and that your Input and resulting Output do not violate any third-party rights, including intellectual property, privacy, or publicity rights. License to Synera: By using the Service and submitting Input, you grant Synera a worldwide, non-exclusive, royalty-free, sublicensable license to use, process, store, and display your User Content solely as necessary to provide, maintain, protect, and improve the Service to you and for our internal operational purposes, subject to our Privacy Policy (https://app.synera.space/policies/privacy). This license does not grant Synera the right to use your specific User Content to train publicly available AI models. Disclaimer on Output Accuracy: You acknowledge that AI-generated Output may not always be accurate, complete, or free from errors or biases. Synera does not guarantee the quality, accuracy, or legality of any Output. You are solely responsible for reviewing, verifying, editing, and ensuring the compliance of any Output you use or distribute. 6. Permitted and Prohibited Uses Permitted Use: You may use the Service in accordance with these Terms and your subscription plan for generating content for legitimate purposes. Prohibited Uses: You agree NOT to use the Service: In violation of any applicable national, federal, state, local, or international law or regulation, including the laws of Malaysia and the United States. To generate, upload, or disseminate content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, sexually explicit, or discriminatory. To generate, upload, or disseminate content that infringes upon or violates the intellectual property or other rights of any third party. To impersonate any person or entity. To upload or transmit viruses, malware, or other malicious code. To interfere with or disrupt the Service. To attempt to gain unauthorized access to the Service or its systems. To scrape, data mine, reverse engineer, decompile, or disassemble any part of the Service. To use the Service in a manner that circumvents your plan's limits. To train AI models using Output in a way that competes with Synera or its providers. 7. Third-Party Services The Service relies on or integrates with third-party services, including underlying AI model providers and payment processors like Stripe. Synera is not responsible for these third parties. Your use of third-party services is at your own risk and subject to their respective terms and policies. 8. Disclaimer of Warranties THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SYNERA BIZ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SYNERA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, ACCURATE, OR RELIABLE. 9. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNERA BIZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE. SYNERA BIZ'S AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PAST TWELVE (12) MONTHS. 10. Indemnification You agree to defend, indemnify, and hold harmless Synera Biz from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to your use of the Service, violation of these Terms, violation of third-party rights, or your User Content. 11. Termination Synera may terminate or suspend your access at any time, with or without cause. You may terminate your account at any time by contacting support@synera.space. Termination of paid plans does not entitle you to a refund, except as per the Refund Policy. 12. Governing Law and Dispute Resolution a. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, and the laws of Malaysia, without regard to conflict of law principles. (Note: As advised, having two governing laws can create legal conflicts. Please consult a lawyer on this provision). b. Dispute Resolution: Any dispute shall first be attempted to be resolved informally by contacting support@synera.space. If unresolved, the dispute shall be submitted to binding arbitration administered by the Asian International Arbitration Centre (AIAC) in Kuala Lumpur, Malaysia, under the AIAC Comprehensive Arbitration Rules and Procedures. c. Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. d. Judicial Forum for Injunctive Relief: Notwithstanding the agreement to arbitrate, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights. 13. Changes to Terms We may modify these Terms at any time. Changes are effective upon posting the updated Terms with a new "Effective Date". By continuing to use the Service after the effective date of any changes to these Terms, you agree to be bound by the revised Terms. 14. General Provisions These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Synera regarding the Service. If any provision is invalid, others remain in effect. You may not assign these Terms without consent. Synera may assign its rights. 15.
